The agreement between you and us.

Coach Circle is a Philippine learning platform operated by Coach Circle Inc. (“Coach Circle”, “we”, “us”, or “our”), founded by Lish Aquino. We host courses published by independent coaches and offer subscriber access to the full library on prepaid plans, as well as à la carte course purchases.

Coach Circle is a learning platform and a marketplace. We are not a guarantor of any particular outcome from any course published on the platform, and we are not the author of the instructional content. Coaches are independent contractors who license their content to us for streaming through the service.

You agree to provide accurate registration information, to keep your password private, and to not share your account with another person. You are responsible for all activity that occurs under your account. If you suspect someone else has accessed your account, email support@coachcircle.ph and we will lock the account while we investigate.

You must be at least 18 years old to create an account on your own. Minors under 18 may use Coach Circle only with the verifiable consent and active supervision of a parent or legal guardian, who agrees to be bound by these Terms on the minor’s behalf.

We offer two prepaid subscription plans — Monthly and Annual — alongside individual à la carte course purchases. All payments are processed in Philippine Pesos (PHP) and taken upfront for the prepaid period via Xendit, which supports GCash, bank transfer, and major card networks.

Subscriptions do not auto-renew in this version of the platform. When the prepaid period ends, your subscription access expires until you renew manually. À la carte course purchases grant the buyer indefinite access to that specific course while the course remains published on the platform.

Pricing is shown on the Plans page and on each course detail page. We may adjust pricing for future billing periods; current prepaid periods are honored at the price you paid.

If a course you accessed is materially misrepresented or substantially different from its published description, write to support@coachcircle.ph within 14 days of your subscription start or à la carte purchase. We will review the request in good faith and, where appropriate, refund the unused portion of your prepaid period or the full price of the affected course. Refund decisions are made at Coach Circle’s discretion and the 14-day window is the outer bound for eligibility.

Outside the 14-day window, all sales are considered final. We may, in our sole discretion, grant a partial credit toward a future subscription period in exceptional circumstances.

Coach Circle distributes revenue back to coaches under a published two-tier model. The applicable share depends on the tier the coach was approved under at the time the revenue was earned.

Featured Coaches — subscription pool share of 70%. The platform retains 30% in exchange for active distribution: featured placements, email promotions, paid acquisition, and editorial programming. Featured Coaches sell exclusively through the all-access subscription — à la carte course pricing is not applicable to this tier.

Standard Coaches — sell à la carte courses at a 90% share to the coach; the platform retains 10% on à la carte to fund hosting, payment processing, streaming delivery, and platform development. Standard coaches set their own à la carte course prices — the platform does not impose a floor or a cap. Standard Coaches are not eligible for any share of the all-access subscription pool: their courses are sold exclusively à la carte and are not included in the all-access subscription. Standard coach profiles remain visible in the public catalog so students can discover and purchase courses directly.

These are public commitments. The full coach-side terms, tier-selection process, distribution timing, and methodology are described in the separate Coach Agreement entered into when a coach is approved onto the platform, and on the public coach application page at coachcircle.ph/joinus.

All course content — videos, written descriptions, supplementary materials, and any other instructional asset uploaded by a coach — remains the intellectual property of the publishing coach. By uploading content to Coach Circle, the coach grants us a non-exclusive, royalty-free license to host, transcode, watermark, and stream the content to authorized subscribers and purchasers for the duration of its listing on the platform, plus a reasonable wind-down period after removal.

Subscribers and à la carte purchasers receive a personal, limited, non-exclusive, non-transferable, revocable license to stream the content for their own learning while their access is active. You may not download, mirror, redistribute, republish, record, transcribe, train AI models on, or otherwise exploit course content outside the platform.

The Coach Circle name, logo, platform design, source code, and all other elements of the platform itself are owned by Coach Circle Inc. All other trademarks belong to their respective owners.

When you submit feedback, ratings, content reports, or any other communication through the platform (“User Content”), you grant Coach Circle a worldwide, perpetual, royalty-free license to use, display, moderate, and (where appropriate) act on that content for the purpose of operating and improving the service.

You represent that any User Content you submit is your own, is accurate to the best of your knowledge, and does not violate any third party’s rights or any applicable law. We may remove or refuse to display User Content at our discretion, including content that is defamatory, harassing, off-topic, spam, or otherwise inconsistent with the spirit of the platform.

• Share your login, transfer your subscription, or otherwise permit anyone else to use your account.
• Record, screen-capture, mirror, or rebroadcast course videos or live sessions.
• Use Coach Circle to harass coaches, other students, or platform staff, or to engage in any form of unlawful conduct.
• Attempt to bypass the subscription or à la carte access gate or access content you have not paid for.
• Reverse-engineer, scrape, or programmatically access the platform without our prior written permission.
• Use course content to train artificial-intelligence models or to generate derivative commercial works.
• Upload malicious code, attempt to compromise platform security, or interfere with the experience of other users.

THE SERVICE AND ALL COURSE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

To the maximum extent permitted by Philippine law, Coach Circle and the publishing coaches disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, security, and uninterrupted availability.

Coach Circle does not warrant that the service will be free of errors, viruses, or other harmful components, nor that any course will produce a particular outcome. Educational results depend on factors outside our control, including your own circumstances, effort, and application of the material. Course content reflects the views and methods of the publishing coach, not of Coach Circle.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE PHILIPPINE LAW, COACH CIRCLE’S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO COACH CIRCLE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

In no event will Coach Circle, its founders, employees, or contractors be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages; to that extent, the limitations above apply only to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Coach Circle Inc., its founders, officers, employees, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that User Content you submitted caused damage to a third party. This indemnification obligation survives termination of these Terms.

You may close your account at any time by emailing support@coachcircle.ph. We may suspend or close accounts that violate these Terms, that engage in fraudulent or harmful conduct, or that we are required to suspend by law. Where the violation involves harm to another user, a coach, or the platform, we may close the account without refund.

Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law) survive any termination of these Terms.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

Any dispute, claim, or controversy arising out of or relating to these Terms or to the service — including the formation, breach, termination, enforcement, interpretation, or validity thereof — will be resolved exclusively through binding arbitration administered in Metro Manila, Philippines, in accordance with the Alternative Dispute Resolution Act of 2004 (Republic Act No. 9285) and the arbitration rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) in effect at the time the dispute is filed.

The arbitration will be conducted in English by a single arbitrator. The arbitrator’s decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Coach Circle each agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small-claims court for disputes within that court’s jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction in Metro Manila to protect intellectual property rights pending arbitration. Nothing in this section limits your right to file a complaint with the National Privacy Commission or any other Philippine regulatory body.

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. To the extent any dispute falls outside the arbitration clause above, the parties agree to the exclusive jurisdiction of the courts of Pasig City, Metro Manila.

When we update these Terms, the updated version takes effect for new subscriptions and à la carte purchases immediately and for existing subscriptions at the next prepaid period. Material changes will be announced to active subscribers and registered coaches via email at least 14 days before they take effect. The latest version is always posted on this page with its effective date.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any Coach Agreement (for coaches), constitute the entire agreement between you and Coach Circle with respect to the service and supersede any prior agreements.
